Acquisitions

When seeking to grow a company, one of two main strategies is typically employed: either organic growth through investment and expansion of the current business, or alternatively by acquiring or merging with another company. We believe the proof of a successful merger or acquisition is when value can be seen on both sides, and we pay particular attention to this when considering the target criteria. It is of paramount importance to consider the strengths and weaknesses of the acquisitive company to help establish the attributes that a target does or does not require:

  • In our process, we consider why an acquisition is being sought and the attributes that a target needs to have. For example, is it a new product offering, technology/know-how, a strong sales presence, new customer base or geographical presence?
  • Time is also taken to consider what attributes the target would not need to have, because these could benefit from the existing strengths in our client’s organisation. Acquiring a target which can also profit from joining our client’s business will make the acquisition more economically viable. Buying attributes that are already in place may not make economic sense.
  • Acquisitions are not just about hard numbers. We would strongly recommend that the culture and personalities within the target are considered, to ensure that this will fit with our clients. This greatly helps post-acquisition integration.

Additionally, simply sifting through the opportunities that are being marketed by other advisors and brokers is not recommended. These only reflect a small portion of all businesses and the process could become competitive. Instead, we proactively research and search for acquisition opportunities off-market, using the identified acquisition criteria, to help find the right target at the right price.

Once a deal has been agreed, we involve ourselves in the business planning and financial modelling process for the combination. Assistance is given for any funding requirement, utilising established close relationships with a wide variety of acquisition funders.
